(“BlueRidge Trading”) and its affiliates and subsidiaries. “You” or “Your” refers to any person or entity that accesses or attempts to access the BlueRidge Trading websites (the “BlueRidge Trading Websites”). By accepting or using the BlueRidge Trading Websites, You agree to be bound by these Terms. BlueRidge Trading may update these Terms at any time. You are encouraged to review the Terms carefully prior to using the BlueRidge Trading Websites and each time You return as they are subject to change.
Any information that you provide to us via the Services or otherwise is governed by our Privacy Policy that may be accessed at PRIVACY POLICY. BlueRidge Trading aggressively enforces its intellectual property rights to the fullest extent of the law. The name of BlueRidge Trading LLC., their respective logos, or the Trademarks of other BlueRidge Trading formatives may not be used in any way, including in advertising or publicity pertaining to distribution of materials on the BlueRidge Trading Websites, without prior, written permission from BlueRidge Trading. BlueRidge Trading prohibits use of its logos as part of a link to or from any site unless establishment of such a link is approved in advance by BlueRidge Trading in writing. You hereby waive any right You may otherwise have had to challenge, in any legal proceeding, any assertion by BlueRidge Trading that Your alleged use of or access to BlueRidge Trading Websites caused BlueRidge Trading irreparable harm.
BlueRidge Trading may terminate or suspend Your access to the BlueRidge Trading Websites for any violation of the provisions of these Terms or for any reason whatsoever at its sole discretion and without prior notice.
Feedback
If you provide feedback, suggestions, ideas, or other input regarding the Service or other of our products and services (“Feedback”), you grant BlueRidge Trading LLC. and its affiliates a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and otherwise exploit such Feedback for any purpose, commercial or otherwise, without compensation to you. We have no obligation to treat Feedback as confidential.
Non-Disclosure of Prototype and Pre-Release Features
If you access or use any prototype, beta, or pre-release version of the Service, or any features of the Service that are not publicly released (“Confidential Features”), you agree not to disclose, display, or otherwise make such Confidential Features available to any third party without prior written consent from BlueRidge Trading LLC. You further agree to protect the confidentiality of all such Confidential Features with the same degree of care that you use to protect your own confidential information, but no less than a reasonable degree of care.
Governing Law/Jurisdiction
All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms or the rights and obligations of you or BlueRidge Trading in connection with the provision or use of Content shall be governed by and construed in accordance with the laws of the State of Texas, U.S.A., without regard to its conflicts of law principles.
Any controversy or claim arising out of or relating to the Service shall be settled by binding arbitration under JAMS rules in Denton or Collin County, Texas. Arbitration shall be on an individual basis only; class or representative claims are not permitted.
Binding Arbitration/Class Action Waiver
Any controversy or claim arising out of or relating to the BlueRidge Trading Websites shall be settled by binding arbitration with a final hearing in Denton or Collin County, or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural rules for commercial or consumer disputes, as applicable, set forth in the Comprehensive Arbitration Rules and Procedures of JAMS (“JAMS Rules and Procedures”) then prevailing, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
The arbitrator shall be selected pursuant to the JAMS Rules and Procedures. The arbitrator shall apply Texas law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor BlueRidge Trading shall be entitled to arbitrate their dispute.
THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT PROVIDE CONTENT IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE TERMS AND CONDITIONS.
Indemnification
As a condition of Your use of the BlueRidge Trading Websites, You agree to indemnify and hold BlueRidge Trading and harmless from and against any and all claims, losses, liability, costs, and expenses (including but not limited to attorneys’ fees) arising from Your misuse of the BlueRidge Trading Websites, or from Your violation of these Terms.

BlueRidge Trading DOES NOT MAKE ANY EXPRESS OR IMPLIED WARRANTIES ABOUT THE BlueRidge Trading WEBSITES OR THE CONTENT PRESENTED ON THE BlueRidge Trading WEBSITES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE BlueRidge Trading WEBSITES AND ALL CONTENT IS MADE AVAILABLE TO YOU “AS IS” AND “AS AVAILABLE”.
BlueRidge Trading DOES NOT WARRANT THAT THE BlueRidge Trading WEBSITES WILL BE UNINTERRUPTED, OR SECURE. IF YOU DOWNLOAD ANY MATERIALS FROM THE BlueRidge Trading WEBSITES OR FOLLOW ANY LINKS TO THIRD PARTY CONTENT, YOU DO SO AT YOUR RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR OTHER ELECTRONIC SYSTEM OR LOSS OF DATA THAT RESULTS.

BlueRidge Trading WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DAMAGES OF ANY KIND, WHETHER CONSEQUENTIAL, INCIDENTAL, SPECIAL, DIRECT, INDIRECT OR OTHERWISE. BlueRidge Trading EXPRESSLY DISCLAIMS LIABILITY FOR LOST PROFITS, BUSINESS-RELATED LOSSES, AND/OR ANY DAMAGES THAT RESULT FROM USE OF OR LOSS OF USE OF THE BlueRidge Trading WEBSITES AND MATERIALS ON THE BlueRidge Trading WEBSITES (WHETHER PROVIDED BY BlueRidge Trading OR THIRD PARTIES). THIS DISCLAIMER OF LIABILITY APPLIES EVEN IF BlueRidge Trading HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

Severability
If a court of competent jurisdiction deems any provision of these Terms to be unenforceable or in conflict with applicable laws, rules, or regulations, either present or future, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Material changes will be notified in advance where required by law. What constitutes a material change will be determined at Our discretion.
